Nov 14, 2019 — We are a general contractor specializing in facilities maintenance, tenant improvement and renovation services for commercial and governmental clients. Beginning in 2019 a significant portion of our revenue is derived from operations and maintenance of 28 rest areas throughout the state of Arizona pursuant to a five-year evergreen contract with the Arizona Department of Transportation (the “2019 Contract”). We are a party to 13 multi-year contracts with various government agencies in which we have provided and will provide facilities maintenance, tenant improvement and renovation services. We estimate that we will generate more than $6 million in revenue annually from these contracts, including more than $3.5 million attributable to the 2019 Contract. The Company has a proven track record supported by 21 years of ongoing business. Our revenue has increased from $2.9 million for the year ended December 31, 2015 to $4.2 million for the year ended December 31, 2018. We have developed strong alliances with numerous customers, including many state government agencies throughout Arizona. We expect revenue and seller’s discretionary earnings to increase to $8 million and $2.2 million, respectively, for the year ended December 31, 2019. Demand for our services has been, and is expected to continue to be, subject to significant fluctuations due to a variety of factors beyond our control, including economic conditions. However, we believe that the outlook for our growth over the next several years remains favorable given our focus on, and expertise in, long-term maintenance contracts for government agencies.
